Beneficial ownership under Act 992: a working checklist for company secretaries
By Nana Akua Sarpong
The Companies Act, 2019 (Act 992) made beneficial ownership disclosure a routine part of company administration. Many companies still treat it as a one time exercise at incorporation.
A change in the natural persons who ultimately own or control the company should be reported to the Registrar. That includes changes that happen through holding companies, trusts and nominee arrangements.
Keep a register internally and reconcile it against the filing each time shares are allotted or transferred. The consolidated text of Act 992 in GH Law Database links each relevant section to the regulations and Registrar guidance that apply.
Late or inaccurate filings carry penalties, and they also cause delay when the company later needs a clean search for a lender or investor. A short quarterly review avoids both problems.
